Terms & Conditions
Last Updated: August, 19, 2026
These Terms of Use (the “Terms”) are a binding agreement between you and Laugh Factory Inc. (“LF,” “Laugh Factory,” “we,” “us,” or “our”). They govern your access to and use of laughfactory.com and any other website, mobile application, digital service, streaming service, account, feature, content, or online experience that links to these Terms (collectively, the “Services”).
These Terms govern the Services operated by Laugh Factory Inc. Tickets, events, venues, memberships, merchandise, promotions, or other products may be offered or fulfilled by a different Laugh Factory entity or third party identified at the point of transaction. The applicable seller, venue operator, promoter, or provider is responsible for the obligations expressly assigned to it in the transaction-specific terms.
PLEASE READ THESE TERMS CAREFULLY. SECTION 22 REQUIRES MOST DISPUTES TO BE RESOLVED THROUGH INDIVIDUAL BINDING ARBITRATION AND INCLUDES A CLASS-ACTION AND JURY-TRIAL WAIVER. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 22.
By clicking “I agree,” creating an account, making a purchase, or otherwise accessing or using the Services after having a reasonable opportunity to review these Terms, you agree to be bound by them. If you do not agree, do not access or use the Services.
1. Eligibility and Authority
You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf. Certain events, content, purchases, contests, alcohol-related offerings, or features may have higher age requirements.
If you use the Services for a company or other organization, you represent that you have authority to bind it to these Terms, and “you” includes that organization. You may not use the Services if doing so would violate applicable law or if we have previously suspended or terminated your access.
The Services are intended primarily for users in the United States. We do not represent that the Services or any content, product, event, or feature is lawful or available in every location.
2. Additional Terms and Order of Precedence
Our Privacy Policy explains how we collect, use, and disclose personal information. Additional terms may apply to particular transactions or features, including:
- ticket, venue, admission, refund, and event terms;
- subscription or membership terms;
- promotion, contest, and sweepstakes rules;
- merchandise, gift-card, or purchase terms;
- the SMS Program Terms;
- mobile-application marketplace terms; and
- terms of a third-party ticketing, payment, streaming, or service provider.
Additional terms are incorporated into these Terms by reference. If there is a conflict, the more specific additional terms control for the applicable product, transaction, program, or feature. For clarity, the SMS Program Terms control disputes arising specifically from the SMS Program to the extent they expressly conflict with Section 22, and transaction-specific ticket or venue terms control questions concerning admission, refunds, event conduct, and ticket use.
3. Changes to These Terms
We may update these Terms prospectively. We will post the updated Terms, change the “Last Updated” date, and provide any additional notice or obtain consent required by law.
Material changes will not apply retroactively except to the extent required by applicable law, or unless you expressly agree. If you do not agree to an update, you must stop using the Services. Continued use after the effective date of an update constitutes acceptance to the extent permitted by law.
4. Accounts and Security
Some features require an account. You agree to provide accurate, current, and complete information and keep it updated. You may not impersonate another person, create an account for someone without authorization, transfer or sell an account, or use a username that infringes another person’s rights.
You are responsible for safeguarding your login credentials and for activity under your account to the extent caused by your acts or omissions. Notify us promptly at [email protected] if you suspect unauthorized access, credential theft, or another security incident. We may require identity verification, reset credentials, restrict transactions, or suspend access to protect you, LF, or others. We are not liable for losses resulting from your failure to safeguard credentials, except to the extent caused by LF or where liability cannot lawfully be excluded.
5. Limited License to Use the Services
Subject to these Terms, LF grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services and view or stream content solely for your lawful, noncommercial use. This license does not transfer ownership of any Service or content.
Except as expressly allowed by these Terms or written permission from LF, you may not copy, download, record, reproduce, distribute, publicly display or perform, transmit, modify, translate, create derivative works from, sell, rent, license, commercially exploit, frame, mirror, or republish any portion of the Services or content.
6. Ownership and Intellectual Property
The Services and all associated text, graphics, artwork, photographs, audio, video, recordings, software, code, designs, databases, compilations, interfaces, trademarks, service marks, logos, trade dress, names, and other materials (collectively, “LF Content”) are owned by or licensed to LF. They are protected by intellectual property and other laws.
Laugh Factory and related names, logos, slogans, designs, and marks are trademarks of LF, its parent, affiliates, or licensors. No right to use any mark is granted by implication, estoppel, or otherwise. You may not remove or alter proprietary notices or use LF Content or marks in a manner suggesting sponsorship, endorsement, or affiliation without written authorization.
7. Prohibited Conduct
You may not, directly or through another person or automated system:
- violate any law, regulation, court order, contractual obligation, or third-party right;
- use the Services for fraud, harassment, threats, stalking, discrimination, exploitation, obscenity, or other unlawful or harmful activity;
- submit malware, malicious code, corrupted data, or content designed to interfere with a device, network, account, or service;
- gain or attempt unauthorized access to an account, system, network, nonpublic area, or authentication mechanism;
- interfere with, overload, disrupt, damage, probe, scan, test, or circumvent the Services or their security, access controls, rate limits, or digital-rights-management technology;
- scrape, crawl, spider, index, harvest, extract, cache, or monitor the Services or LF Content by automated means, except as authorized in writing or by instructions in a publicly available robots.txt file for a general-purpose search engine;
- use LF Content, user data, or Service output to develop, train, test, fine-tune, benchmark, validate, or improve an artificial-intelligence, machine-learning, facial-recognition, biometric, or generative model or system without LF’s prior written consent;
- reverse engineer, decompile, disassemble, decode, or attempt to discover source code or nonpublic data, except where applicable law expressly prohibits this restriction;
- collect, use, or disclose another person’s personal information without authorization;
- send spam, chain messages, unauthorized advertising, phishing, or other unsolicited communications;
- manipulate ticket availability, queues, purchase limits, promotions, reviews, engagement, or Service metrics;
- use bots or other automated means to reserve, purchase, transfer, or resell tickets or inventory, or evade transaction limits;
- impersonate LF, a performer, venue, employee, or another person, or falsely state an affiliation;
- post or transmit content that infringes intellectual property, privacy, publicity, confidentiality, or other rights;
- use the Services or LF Content to compete with LF, create a substitute service, or for commercial solicitation without written permission; or
- encourage, assist, or enable any prohibited activity.
We may investigate suspected violations and preserve or disclose information where reasonably necessary to comply with law, enforce these Terms, protect rights and safety, or prevent fraud or security threats, consistent with our Privacy Policy.
8. User Content and Interactive Features
The Services may allow reviews, comments, messages, photographs, videos, contest entries, profile information, or other materials submitted by users (“User Content”). You retain ownership of your User Content, subject to the license below.
You represent and warrant that you own or control all necessary rights to your User Content; your User Content is accurate where it states facts; and LF’s use of it as permitted by these Terms will not violate law or another person’s rights. Do not submit confidential information or content you do not want others to see.
By submitting User Content, you grant LF, its affiliates, contractors, licensees, successors, and assigns a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to host, store, reproduce, modify, adapt, translate, publish, distribute, publicly perform and display, communicate, promote, and create derivative works from that User Content in any media now known or later developed, for purposes of operating, improving, promoting, and providing the Services, LF, its venues, events, and related offerings. This license lasts for as long as reasonably necessary for those purposes; public or promotional uses authorized before deletion may continue where removal is impracticable, and archival copies may be retained as required by law or legitimate recordkeeping needs.
To the extent permitted by law, you waive and agree not to assert moral rights or similar rights in User Content. You also grant LF and other users any permissions necessary to view and interact with User Content through the functionality of the Services.
LF does not endorse User Content and is not obligated to prescreen, monitor, edit, or remove it. We may remove, restrict, or preserve User Content at any time for any lawful reason. You may encounter content you consider offensive, inaccurate, or inappropriate. Your interactions with other users are at your own risk.
9. Feedback and Submissions
If you voluntarily provide ideas, suggestions, concepts, proposals, or feedback concerning LF or the Services (“Feedback”), you grant LF a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to use, reproduce, modify, commercialize, and otherwise exploit the Feedback without restriction, attribution, or compensation. Do not submit Feedback you consider confidential or proprietary.
This section does not govern formal talent submissions, scripts, pitches, booking requests, or other creative materials governed by a separate written submission policy or agreement. LF does not agree to receive unsolicited creative materials merely because a contact channel is available.
10. Tickets, Events, Performers, and Admission
Ticket purchases and event attendance are subject to the terms displayed during purchase, the ticket issuer’s terms, and venue rules. Third parties may sell or fulfill tickets. You are responsible for reviewing the seller identity, event details, fees, refund terms, restrictions, and delivery method before purchase.
Unless applicable transaction terms or law provide otherwise:
- all sales are final, and tickets are nonrefundable and nonexchangeable;
- event dates, times, locations, formats, performers, lineups, opening acts, seating, and content may change;
- advertised performers are not guaranteed to appear;
- late admission or re-entry may be restricted;
- tickets may be subject to age, identification, minimum-purchase, transfer, resale, recording, and device restrictions;
- LF and the applicable venue may refuse admission or remove a person for violating law, ticket terms, safety requirements, or venue rules; and
- lost, stolen, damaged, duplicated, fraudulent, or unauthorized tickets may not be replaced or honored.
If an event is canceled, postponed, rescheduled, relocated, or materially changed, the applicable seller’s policy and law determine any refund, credit, replacement, or other remedy. Travel, lodging, parking, childcare, and other incidental costs are your responsibility unless applicable law requires otherwise.
Comedy and live entertainment may include mature, controversial, offensive, spontaneous, or audience-interactive material. LF does not guarantee that content will be suitable for every person. Content advisories, ratings, or descriptions are informational and may be incomplete.
Nothing in these Terms is intended to waive non-waivable rights or excuse a venue from duties imposed by applicable health, safety, accessibility, or premises-liability law.
10A. Assumption of Risk
Attendance at live events involves inherent risks, including but not limited to crowded conditions, alcohol service, loud noise and flashing lights, audience interaction, physical contact with other attendees, and exposure to communicable illness. By attending an event, you voluntarily assume these risks to the fullest extent permitted by law. This assumption of risk does not waive any non-waivable right or excuse a venue from duties imposed by applicable health, safety, or premises-liability law.
11. Recording, Publicity, and Venue Media
Events may be photographed, livestreamed, or recorded by LF, performers, media, or authorized partners. Any consent concerning use of an attendee’s name, image, voice, likeness, statements, or appearance must be provided through the applicable ticket terms, posted venue notice, release, or other legally sufficient notice or agreement. These Terms alone do not expand a release beyond what applicable law permits.
Unauthorized photography, recording, streaming, or distribution of performances may be prohibited. You must comply with posted policies and staff instructions concerning cameras and devices.
12. Purchases, Prices, Taxes, and Payment
By submitting an order, you offer to purchase the identified product or service under the terms shown at checkout. We may accept, reject, limit, or cancel an order, including for suspected fraud, pricing or inventory errors, unauthorized resale, purchase-limit evasion, or legal and security concerns. A payment authorization or order confirmation does not necessarily constitute final acceptance. If we cancel after charging you, we will refund the amount charged for the canceled item unless the charge is subject to a valid offset or dispute.
You agree to provide accurate billing and payment information and authorize LF and its payment processors to charge your selected payment method for the disclosed amount, including applicable taxes and fees. Prices, inventory, and offers may change before an order is accepted. You are responsible for taxes imposed on your purchase, excluding taxes on LF’s net income.
You are solely responsible for any bot, script, browser extension, or other automated tool you use, or authorize a third party to use, to browse, reserve, or purchase through the Services. LF is not liable for lost purchases, duplicate charges, account restrictions, or other losses arising from your use of such automated tools, including where the Services block, cancel, or reverse a transaction as a result.
Refunds, exchanges, cancellations, chargebacks, fulfillment, shipping, and delivery are governed by the terms disclosed for the transaction and applicable law. You may not initiate a chargeback for a charge you authorized merely to avoid an applicable refund or cancellation policy. We may suspend accounts, tickets, or services associated with fraudulent payments, chargebacks, or unpaid amounts, subject to law.
13. Subscriptions and Automatic Renewal
This section applies only if LF offers a subscription, membership, free trial, or continuous service that automatically renews (“Subscription”). Before you enroll, LF will disclose the material renewal terms—including price, billing frequency, renewal period, trial or promotional terms, and cancellation method—and obtain any consent required by law. The checkout disclosures and confirmation are part of these Terms.
By enrolling in a Subscription, you authorize recurring charges to your payment method at the disclosed frequency until you cancel. Taxes and disclosed fees may apply. If price or other material terms change, LF will provide notice and obtain consent where required. Cancellation takes effect as disclosed at enrollment and does not entitle you to a prorated refund unless required by law or expressly promised.
You may cancel using the method disclosed at enrollment and in your confirmation. If enrollment occurred online, LF will provide an online cancellation method as required by applicable law. We will provide renewal, trial-expiration, promotional-expiration, annual, or price-change notices where required. If Subscription disclosures conflict with this section, the more specific disclosures control.
14. Promotions, Contests, and Sweepstakes
Promotions, contests, sweepstakes, giveaways, presales, discount codes, and loyalty programs may have separate official rules or terms. Those rules control the promotion. Unless expressly stated, participation does not guarantee eligibility, availability, a ticket, a prize, or any other benefit. Void where prohibited.
15. Third-Party Services and Links
The Services may link to or integrate ticketing providers, payment processors, social networks, streaming platforms, delivery providers, advertisers, or other third-party services. LF does not control and is not responsible for third-party services, terms, privacy or security practices, content, products, availability, accuracy, or conduct. A link or integration does not imply endorsement.
Your dealings with third parties are between you and the third party. LF is not responsible for losses arising from those dealings except to the extent LF expressly assumes responsibility or applicable law provides otherwise.
16. Privacy and Electronic Communications
Our Privacy Policy (https://www.laughfactory.com/privacy-policy) governs LF’s handling of personal information. Do not state or assume that information publicly posted by a user is outside the Privacy Policy; public disclosure and LF’s processing of that information are addressed in the Privacy Policy.
You agree that LF may provide agreements, disclosures, notices, receipts, and other records electronically, including by email, text message where separately authorized, account notification, or website posting. You may retain electronic records by saving or printing them. This consent does not expand consent to receive marketing communications and does not waive rights under electronic-signature or consumer-protection laws.
17. Copyright Complaints and DMCA Procedure
Laugh Factory respects intellectual-property rights. If you believe that material available through the Services infringes a copyright you own or control, please send a written complaint to:
- Laugh Factory Inc.
- Attn: Copyright Complaints
- 8001 Sunset Boulevard, Los Angeles, CA 90046
- Los Angeles, CA 90046
- Email: [email protected]
- Telephone: (323) 656-1336
Your complaint should identify the copyrighted work, identify and provide the location of the allegedly infringing material, provide your contact information, and explain why you believe the use is unauthorized. Laugh Factory may investigate complaints and, in its discretion or as required by law, remove or restrict access to material. Laugh Factory may also suspend or terminate users who repeatedly infringe intellectual-property rights.
18. Service Availability, Changes, and Termination
We may add, remove, modify, suspend, restrict, or discontinue all or part of the Services, accounts, features, or content at any time. We may suspend or terminate your access if we reasonably believe you violated these Terms, created a legal, fraud, security, or safety risk, or misused the Services. Where practical and required by law, we will provide notice.
You may stop using the Services at any time. Account deletion does not automatically cancel a separately billed Subscription unless disclosed otherwise. Provisions that by their nature should survive termination—including ownership, licenses already granted, payment obligations, disclaimers, liability limitations, indemnity, dispute resolution, and general provisions—will survive.
19. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND LF CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND SECURITY.
LF does not warrant that the Services, content, events, availability information, or communications will be complete, accurate, current, uninterrupted, secure, error-free, or free of harmful components; that defects will be corrected; or that the Services will meet your requirements. Information about schedules, performers, prices, inventory, and events may change. You assume the risks associated with reliance on content and interactions with users or third parties.
LF is not a guarantor of data security. While LF maintains reasonable administrative, technical, and physical safeguards designed to protect information transmitted through the Services, no method of transmission or storage is completely secure, and LF cannot guarantee absolute security. Any liability arising from unauthorized access to or disclosure of your information remains subject to the disclaimers in this Section 19 and the limitation of liability in Section 20, except to the extent caused by LF’s gross negligence or willful misconduct.
Nothing in these Terms excludes warranties, remedies, or rights that cannot lawfully be excluded.
20. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LF AND ITS PARENTS, SUBSIDIARIES, AFFILIATES, VENUE ENTITIES, LICENSORS, SERVICE PROVIDERS, CONTRACTORS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (COLLECTIVELY, THE “LF PARTIES”) WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, USE, GOODWILL, BUSINESS, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE LF PARTIES’ TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE LESSER OF (A) THE AMOUNT YOU PAID TO LF THROUGH THE SERVICES FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$50.
The limitations apply to the allocation of risk even if a remedy fails of its essential purpose. They do not apply to liability that cannot be limited or excluded, which may include liability for LF’s fraud, willful misconduct, gross negligence, or personal injury caused by LF where applicable law so provides. Some jurisdictions do not permit certain limitations, so portions may not apply to you.
21. Indemnification and User Disputes
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the LF Parties from third-party claims, damages, judgments, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your User Content; (b) your unlawful or unauthorized use of the Services; (c) your material violation of these Terms or applicable additional terms; (d) your infringement or violation of another person’s rights; (e) your unauthorized recording, streaming, or distribution of any performance; or (f) your violation of any ticket purchase, transfer, or resale restriction under Section 10.
LF may control the defense and settlement of an indemnified matter, and you agree to cooperate. LF will not settle a claim in a manner that imposes an admission of fault or nonmonetary obligation on you without your consent, not to be unreasonably withheld. This section does not require a consumer to indemnify an LF Party for that LF Party’s own unlawful conduct, negligence, or breach, and it applies only to the extent permitted by law.
You are responsible for disputes with other users. To the fullest extent permitted by law, you release the LF Parties from claims arising solely from those disputes. If California Civil Code § 1542 applies, you waive it solely as to claims released under this paragraph. Section 1542 states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
22. Informal Resolution; Binding Individual Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT, HAVE A JURY TRIAL, OR PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.
22.1 Informal Notice of Dispute
Before starting arbitration, the claimant must send a written Notice of Dispute containing the claimant’s full name and contact information, account or transaction information, the facts and legal basis of the claim, supporting documents reasonably available, and the specific relief requested. Send notices to LF at:
Laugh Factory Inc.Attn: Legal Notices
8001 Sunset Boulevard, Los Angeles, CA 90046
LF will send a notice to the contact information reasonably available for you. The parties will attempt in good faith to resolve the claim for 60 days after receipt of a complete notice. Either party may request an individual telephone or videoconference settlement conference. Any limitations period and filing-fee deadline will be tolled during this 60-day process. Compliance with this subsection is a condition precedent to arbitration, and a court may enjoin an arbitration filed without compliance.
22.2 Agreement to Arbitrate
Except for claims identified in Section 22.5, you and LF agree that every dispute, claim, or controversy arising out of or relating to the Services, these Terms, additional terms, a transaction, communications, or the relationship between you and LF—including formation, interpretation, breach, termination, enforceability, and validity (each, a “Claim”) will be resolved by final and binding arbitration on an individual basis.
The arbitrator, not a court, will decide disputes concerning the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court will decide whether the class-action waiver is enforceable and whether the informal process in Section 22.1 was satisfied. The Federal Arbitration Act governs this arbitration agreement, 9 U.S.C. §§ 1–16.
22.3 Arbitration Procedure and Fees
The American Arbitration Association (“AAA”) will administer arbitration under its Consumer Arbitration Rules in effect when the arbitration is filed, as modified by these Terms. If the AAA determines its Mass Arbitration Supplementary Rules apply, those rules will apply. AAA rules and forms are available at www.adr.org.
One neutral arbitrator will conduct the arbitration. Unless the parties agree otherwise, proceedings will occur by telephone, videoconference, written submissions, or in the county where you live if an in-person hearing is required. The arbitrator will apply applicable substantive law and will issue a reasoned written award. The arbitrator may award any remedy available to an individual in court, but only relief warranted by that individual’s claim. Judgment may be entered in a court with jurisdiction.
Fees will be allocated under the AAA Consumer Arbitration Rules and applicable law. LF will not seek its attorneys’ fees or arbitration costs from a consumer unless the arbitrator finds the claim frivolous or brought for an improper purpose, or applicable law expressly authorizes the award.
If the AAA is unavailable or unwilling to administer the arbitration consistent with this agreement, the parties will select another administrator. If they cannot agree, a court will appoint one under 9 U.S.C. § 5.
22.4 Individual Proceedings and Class-Action Waiver
YOU AND LF AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A CLASS, COLLECTIVE, COORDINATED, CONSOLIDATED, MASS, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION.
Unless both parties agree in writing or AAA rules expressly require administrative coordination, an arbitrator may not combine more than one person’s Claims or preside over a class, collective, coordinated, consolidated, mass, or representative proceeding. Administrative coordination does not authorize a joint arbitration or joint award.
If a final decision determines that applicable law prevents enforcement of this subsection for a particular Claim or request for relief, only that claim or request will be severed. It may proceed in court after all arbitrable Claims are resolved. The remainder of this Section 22 remains effective.
22.5 Exceptions
Either party may bring an eligible individual action in small claims court. Either party may seek temporary or emergency injunctive relief in court to protect intellectual property, confidential information, security, or the status quo pending arbitration. Nothing requires arbitration of a Claim that applicable law prohibits from being arbitrated. A government agency may consider a complaint where permitted by law.
22.6 Right to Opt Out
You may opt out of this arbitration agreement by sending written notice within 30 days after you first accept these Terms. The notice must include your full name, email address, any account identifier, a statement that you opt out of the arbitration agreement in the Laugh Factory Terms of Use, and your physical or electronic signature. Send it to [email protected]. Opting out does not affect any other provision or your ability to use the Services.
22.7 Time Limit on Claims
Any Claim, whether brought in arbitration or in a court proceeding permitted under Section 22.5, must be filed within one (1) year after the claim first accrued, or it is permanently barred, except where a longer or shorter period is required by applicable law. This limitations period is tolled during the informal-resolution process described in Section 22.1.
23. Governing Law and Court Venue
The Federal Arbitration Act governs Section 22. Except as preempted by federal law and without depriving consumers of non-waivable protections of their home jurisdiction, these Terms are governed by California law without regard to conflict-of-laws rules.
Any dispute permitted to proceed in court must be brought exclusively in the state or federal courts located in Los Angeles County, California, except for an eligible small-claims action or where applicable law requires another forum. You and LF consent to personal jurisdiction and venue in those courts.
24. General Provisions
Severability
Except as provided in Section 22.4, if any provision is invalid or unenforceable, it will be enforced to the maximum extent permitted and the remainder will remain effective.
No Waiver
Failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the instance for which it is given.
Assignment
You may not assign these Terms without LF’s written consent. LF may assign these Terms in connection with a merger, acquisition, reorganization, financing, asset transfer, affiliate restructuring, or by operation of law, subject to applicable law.
Force Majeure
LF is not liable for delay or failure caused by events beyond its reasonable control, including acts of God, natural disasters, public-health events, war, terrorism, civil unrest, labor disputes, utility or network failures, cyberattacks, government actions, venue unavailability, performer incapacity, or transportation disruptions. This subsection does not excuse obligations that cannot lawfully be excused.
A force majeure event that prevents or delays performance does not, by itself, create a right to a refund, credit, or other remedy beyond what is disclosed under Sections 10 and 12 or required by applicable law.
Export and Sanctions Compliance
You may not use the Services in violation of U.S. export-control, trade-sanctions, or anti-boycott laws. You represent that you are not prohibited from receiving the Services under applicable sanctions or export restrictions.
Relationship
These Terms do not create an agency, partnership, joint venture, employment, fiduciary, or franchise relationship between you and LF.
No Third-Party Beneficiaries
Except for the LF Parties as beneficiaries of Sections 19–22, these Terms create no third-party beneficiary rights.
Entire Agreement
These Terms and incorporated additional terms are the entire agreement concerning their subject matter and supersede prior or contemporaneous agreements on that subject. Headings are for convenience. “Including” means “including without limitation.” The English version controls to the extent permitted by law.
